Governance and Change Risk Manager

About the role

As the Governance and Change Risk Manager, you will lead Africa Specialty Risks' (ASR) governance, company secretarial and risk management functions across multiple jurisdictions. Working closely with senior leadership, the Head of Risk and Board committees, you will act as a trusted adviser and ensure robust oversight of programmes, projects and operational risk.

Key responsibilities

• Plan and deliver Board and Committee meetings, preparing agendas, papers, minutes, action logs and decision records.
• Maintain governance standards, manage information flows, and track follow‑up of agreed actions.
• Conduct Board effectiveness reviews and implement governance improvements.
• Maintain statutory registers, constitutional documents, share records, directors' details and delegated authority records.
• Oversee statutory filings, regulatory notifications and corporate approvals across relevant jurisdictions.
• Provide independent second‑line oversight of programme and project change in line with the Three Lines of Defence model.

Required profile

• Proven experience in corporate governance, company secretarial duties and risk management.
• Strong knowledge of statutory and regulatory requirements in multiple jurisdictions.
• Ability to advise senior executives and Board members on governance and risk matters.
• Excellent organisational skills with a focus on accuracy and follow‑through.
